Transport Experts International, LLC Broker/Carrier Code of Conduct

Introduction

At Transport Experts International, LLC, we place the utmost importance on corporate integrity, responsible sourcing, and the safety and wellbeing of workers throughout our global supply chain. These principles are integral to every facet of our operations and extend to all manufacturers, distributors, vendors, contractors, and other suppliers (collectively referred to as "Suppliers") that provide products or services to us.

Our commitment to these principles is embodied in this Supplier Code of Conduct ("Code of Conduct"), which sets forth the minimum standards we expect from any Supplier engaged in business with us, concerning:

- Respectful treatment of workers

- Maintenance of a safe workplace

- Minimization of environmental impact from Supplier's activities

- Adherence to ethical business practices

Applicability

This Code of Conduct is applicable to all Suppliers providing goods or services to Transport Experts International, LLC. Each Supplier is accountable for compliance with the standards outlined in this Code of Conduct ("Standards") within its operations and across its entire supply chain for all goods and services provided to us. This includes the Supplier's own suppliers, vendors, agents, subcontractors, and their respective facilities ("Sub-suppliers"). By providing goods or services to us, each Supplier agrees to comply with this Code of Conduct.

Slavery and Human Trafficking

We insist that all labor be voluntary. Suppliers are expected to ensure that neither they nor their Sub-suppliers support, engage in, or tolerate slavery or human trafficking in any part of their supply chain.

Suppliers are expected to ensure that neither they nor their Sub-suppliers support, engage in, or tolerate any:

- Compelled, involuntary, or forced labor

- Child labor

- Bonded labor

- Indentured labor

Each Supplier is expected to conduct a risk-based analysis of its supply chain and Sub-suppliers, outlining their supply chains, including regions, vendors, and other factors that the Supplier believes pose the most risk for forced labor.

Compliance and Documentation

Suppliers are expected to implement and maintain a reliable system to verify the eligibility of all its employees, including age eligibility and legal status, and to implement and maintain a reliable recordkeeping system regarding the eligibility of all its employees.

Identification Papers

Suppliers should never require any worker to surrender control over original:

- Identification papers or documents giving a foreign worker the right to work in the country

- Identification papers or documents, such as a passport, giving a foreign worker the right to enter or leave the country

- Other core identification documents, such as a birth certificate

Financial Obligations

Suppliers should never, whether or not as a condition to the right to work, require any employee (or employee’s spouse or family member) to, directly or indirectly:

- Pay recruitment or other fees or other amounts in exchange for employment opportunities

- Make financial guarantees

- Incur any material financial obligations as a condition of employment

Freedom of Movement

Suppliers should ensure that all workers have the right to freedom of movement, including each worker’s right to leave any facilities without retaliation:

- At the end of each workday

- Based on reasonable health and safety-related justifications

- Based on other reasonable circumstances, such as personal or family emergencies

Freedom to Terminate Employment

Suppliers should ensure that employees may terminate their employment at their discretion, without any form of retaliation or penalty.
